Terms of Use

Please read these Terms of Use carefully before engaging with or using the website, content, or services of Vigil Assurance. These Terms of Use govern your access to and use of the Site and establish the legal agreement between you and Vigil Assurance.

Interpretation and Definitions

Words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions have the same meaning regardless of whether they appear in the singular or in the plural.

Definitions

  • •Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50 percent or more of the shares, equity interest, or other securities entitled to vote for the election of directors or other managing authority.
  • •Country refers to: Illinois, United States.
  • •Company (referred to as either "the Company," "We," "Us," "Our," or "Vigil Assurance" in this Agreement) refers to Vigil Assurance, a Professional Limited Liability Company organized under the laws of the State of Illinois, United States.
  • •Device means any device that can access the Service, such as a computer, a mobile phone, or a tablet.
  • •Feedback means feedback, innovations, or suggestions sent by You regarding the attributes, performance, or features of our Service.
  • •Service refers to the Website and any related online services provided by the Company.
  • •Terms of Use (also referred to as "Terms") means these Terms of Use, which form the entire agreement between You and the Company regarding the use of the Service.
  • •Third Party Social Media Service means any services or content (including data, information, products, or services) provided by a third party that may be displayed, included, or made available through the Service.
  • •Website refers to Vigil Assurance, accessible from www.vigilassurance.com.
  • •You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Acknowledgment

These Terms of Use govern the use of the Service and the agreement that operates between You and the Company. By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.

You represent that You are at least 18 years of age and that You have the legal authority to enter into these Terms, whether on Your own behalf or on behalf of the organization You represent.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with our Privacy Policy, which describes our policies and procedures on the collection, use, and disclosure of information when You use the Service. Please read our Privacy Policy carefully before using the Service.

These Terms do not govern any separately signed engagement letter, master services agreement, statement of work, or similar professional services agreement between You and Vigil Assurance. In the event of a conflict between these Terms and any such signed agreement, the signed agreement controls with respect to the services covered by that agreement.

Intellectual Property

The Service and its original content (excluding content provided by You or other users), features, and functionality are and will remain the exclusive property of Vigil Assurance and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks, service marks, logos, and trade dress may not be used in connection with any product or service without our prior written consent.

You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Service for Your internal business purposes, subject to these Terms. You may not copy, reproduce, modify, create derivative works from, distribute, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as incidental to normal browsing or as expressly permitted by these Terms.

Any Feedback You provide to the Company will be deemed non-confidential. The Company will be free to use such Feedback without restriction and without compensation to You.

User Responsibilities and Prohibited Conduct

You agree not to use the Service:

  • •In any way that violates any applicable federal, state, local, or international law or regulation.
  • •To transmit or procure the sending of any unsolicited or unauthorized advertising or promotional material.
  • •To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
  • •To engage in any activity that interferes with, disrupts, or attempts to gain unauthorized access to the Service, its related systems, or any networks connected to the Service.
  • •To use any robot, spider, or other automated device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service, without our prior written consent.
  • •To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • •To attempt to circumvent any security measure, access control, or authentication mechanism applicable to the Service.

Linked Sites

Our Service may contain links to third-party websites or services that are not owned or controlled by the Company. The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.

Termination

We may terminate or suspend Your access to the Service immediately, without prior notice or liability, for any reason, including, without limitation, if You breach these Terms. Upon termination, Your right to use the Service will cease immediately.

The provisions of these Terms that by their nature should survive termination will survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects, without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage, or trade practice.

Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind, that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards, or be error free, or that any errors or defects can or will be corrected.

Nothing on the Service constitutes legal, accounting, audit, tax, or other professional advice. Any engagement for professional services from Vigil Assurance is governed exclusively by a separately signed engagement letter or similar written agreement.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event will the Company or its Affiliates, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, revenue, data, use, goodwill, or other intangible losses, resulting from (a) Your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; or (c) unauthorized access, use, or alteration of Your transmissions or content.

To the maximum extent permitted by applicable law, the total cumulative liability of the Company for any and all claims arising out of or relating to these Terms or the Service will not exceed one hundred United States dollars (USD 100.00), or, where You have a paid engagement with the Company, the amounts actually paid by You to the Company for the specific services giving rise to the claim during the three (3) months preceding the event giving rise to the liability.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these jurisdictions, each party's liability will be limited to the greatest extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless the Company and its Affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and service providers, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to Your violation of these Terms or Your use of the Service, including, but not limited to, any use of the Service's content, services, and products other than as expressly authorized in these Terms.

Governing Law and Dispute Resolution

The laws of the State of Illinois, United States, excluding its conflicts of law rules, govern these Terms and Your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.

Any legal action or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Cook, Illinois, and You consent to the personal jurisdiction of such courts.

Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Except as provided in these Terms, the failure to exercise a right or to require performance of an obligation under these Terms will not affect a party's ability to exercise that right or require performance at any time thereafter, nor will the waiver of a breach constitute a waiver of any subsequent breach.

Changes to These Terms of Use

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least thirty (30) days' notice prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, You agree to be bound by the revised Terms. If You do not agree to the new Terms, You must stop using the Service.
